Evaluate and Refine Client Objectives

  • Establish client’s priorities
  • Explore ‘test case’ targets to refine brief.

Identification & investigation of potential targets

  • Review and evaluation of known situations and companies
  • Research on new companies in same or related sectors
  • Financial and commercial review of potential partners
  • Identify shareholders and decision-makers & vested interests.

Controlled approach & introductions

  • Identify priorities of both parties,
  • Establish expectations and objectives of initial meeting
  • Table discussion items and agenda
  • Obtain information to facilitate progress at first meeting
  • Arrange and attend meeting.

Development of indicative offer

  • Provide client with observations on key features in deal
  • Provide innovative approach in construction of offer
  • Evaluate and prioritize elements of offer; cash & non-cash consideration/ preservation of staff & founder values / ongoing commitments/obligations / timetable / Identify potential liabilities – ‘check the downside’.

Negotiation to acceptance

  • Provide line of communication between parties
  • Maintain momentum in discussions
  • Identify and address underlying interests of parties
  • Offer solutions to bridge differences & address unmet goals
  • Refresh dialogue in event of stalemate.

Agreement & Heads of Terms

  • Focus on completeness and simplicity of Heads of Terms
  • Ensure intentions and expectations are clarified in document & understood by both parties – to avoid misunderstandings
  • Work to ensure misunderstandings are cleared early
  • Obtain satisfactory Exclusivity Clause
  • Identify potential deal-breaking factors & discuss how to prevent occurrences.

Due Diligence & Legal Documentation

  • Due diligence report, and preparation of legal documentation (provided by appointed accountants & lawyers)
  • Provide assistance with interpretation of DD findings and address issues arising in DD or legals
  • Provide ongoing support to client to maintain dialogue.

Funding Issues

  • Assist with presentations to shareholders & bankers as required.

Completion

  • Best efforts to ensure all parties adhere to agreed timetable.
