Marketing strategy and timetable for sale process

  • Prepare a summary of the company and its investment merits for use in early stages of marketing

Purchaser Identification

  • Identify potential buyers based on analysis and evaluation of the company
  • Eliminate unsuitable buyers and rank other buyers in consultation with shareholders.

Marketing

  • Identify best avenue of approach to each potential buyer
  • Contact purchasers and provide a summary of the company and investment merits
  • Release selling brochures upon receipt of signed Confidentiality Agreements
  • Regulate the exchange of additional information.

Information Memorandum

  • Prepare Information Memorandum which comprehensively describes the business
  • Relevant information included to reinforce key messages, omit non-essential data
  • Assess role and message of supporting appendices and collate all to be included
  • Focus on the investment attributes of the company for a new owner.

Negotiation & Evaluation of Bids

  • Establish bidding procedures based upon the degree of buyer interest,
  • Assist or represent the shareholders in negotiations with interested parties
  • Receive and evaluate bids
  • Liaise with solicitors in the preparation and negotiation of legal documentation, particularly the sale and purchase contract.

Due Diligence & Completion

  • Advise on completion procedures, including letters of intent, due diligence investigations and exchange of contracts
  • Monitor completion of the transaction and transfer of consideration.
